Terms of Service
Effective date: October 9, 2026
These terms cover your use of this website and set the ground rules for any work we do together. By using the site, you agree to them. Each project is also covered by a written proposal or statement of work (an "SOW") that both of us sign. If the SOW and these terms disagree, the SOW wins.
Who these terms are with
"We", "us" and "Digitechnique" mean Digitechnique. "You" means the person using the site or, if you act for a business, that business. If you accept these terms for a business, you confirm you have authority to do so.
Using this website
You may use the site for lawful purposes and in line with our Acceptable Use Policy. The text, design, graphics and code on the site belong to us or to the people who license them to us. You are welcome to read it, link to it and quote short extracts with credit, but please do not copy the site or present our work as your own. The content is general information, not professional advice, as our Disclaimer explains. We may change or pause the site at any time.
How projects start
A project begins when both of us sign an SOW that sets out the scope, deliverables, timeline and fees. Any estimate we give before then is a guide, not an offer. Our quote is fixed for the scope it describes. If the scope changes, we agree the change in writing first, along with any effect on the fee and the timeline.
What we need from you
To deliver on time, we need prompt feedback and decisions, the content and access the project depends on, and one person on your side who can make decisions. You confirm you have the right to anything you give us to use, such as text, images, data, logins and brand assets. If something we need arrives late, the timeline moves by the same amount.
Fees and payment
Fees, currency and the payment schedule are set out in each SOW. Invoices are due within the period stated on them. If an invoice is overdue, we may pause work after telling you, and we may charge interest at the rate the law allows. Prices do not include taxes such as VAT or GST, which we add where they apply. Your SOW also sets out how milestones, cancellations and refunds work.
Who owns the work
Once you have paid in full, you own the deliverables we create specifically for you, including their source code, designs and content, and we transfer our rights in them to you. We keep ownership of the tools, code libraries, methods and know-how we had before your project or build for general use. Where any of these are part of your deliverables, you get a permanent, royalty-free licence to use them as part of that work. Open-source components stay under their own licences, and we will list them for you on request.
We may say that we worked with you and show the finished work in our portfolio, unless your SOW says otherwise or you ask us not to.
AI tools and AI features
We use AI tools to help with parts of our work, under the same confidentiality rules as everything else, and our engineers review what they produce. When we build AI features for you, their output can be wrong or incomplete. You are responsible for how that output is used, and for having a person review any decision that matters.
Confidentiality
Each of us will protect the other's non-public information with at least reasonable care, use it only for the project, and return or delete it when asked, except where the law requires us to keep it. If we also sign a separate NDA, it adds to this section and wins wherever it is stricter.
Personal data
Our Privacy Policy explains how we handle personal information for our own business. When we process personal data for you as part of a project, our Data Processing Addendum applies.
Our promise on quality
We will do the work with reasonable skill and care. For 30 days after you accept a deliverable, we will fix, at no charge, anything that does not match the SOW. Apart from that promise and any rights the law gives you that cannot be excluded, we do not give other warranties. We cannot guarantee business results such as search rankings, mentions in AI answers, traffic, leads or revenue, because they depend on things no provider controls.
Limits on liability
As far as the law allows, neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability for a project is limited to the fees you paid us for that project in the 12 months before the claim. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited.
Ending a project
Either of us may end a project if the other seriously breaks these terms or the SOW and does not put it right within 14 days of written notice, or if the other becomes insolvent. You may also end a project for any reason with 14 days' written notice, paying for the work done and the costs committed up to that point. The sections on ownership, confidentiality, payment and liability still apply after a project ends.
The Co-Founder Program
Places in the program are governed by their own signed agreements, as described on the term sheet page. These terms apply to your use of the program pages and to our conversations before those agreements are signed.
Events outside anyone's control
Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as natural disasters, war, major internet or cloud outages, or government action. We will tell each other promptly and do what we reasonably can to limit the effect.
If you are a consumer
Our services are designed for businesses. If you use them as a consumer, you keep every right your local consumer law gives you, and nothing in these terms takes those rights away.
Law and disputes
These terms are governed by the law named in your SOW or, if it names none, by the law of the country where Digitechnique is registered.
If a disagreement comes up, we will both try to settle it in good faith first, by talking it through for at least 30 days. If that does not work, either of us may take it to the courts named in the SOW or, if it names none, the courts of the country whose law applies. If you are a consumer, you may also bring a claim in the courts where you live.
Everything else
These terms, the SOW and any documents they refer to are the whole agreement between us about a project. Using the site does not create a partnership, employment or agency relationship. Neither of us may transfer the agreement without the other's written consent, except as part of selling or reorganising a business. If a court finds part of these terms unenforceable, the rest still applies. If one of us does not enforce a right straight away, that right is not lost. Formal notices about a project go in writing to the contact named in the SOW.
Changes to these terms
We may update these terms and will post the new version here with a new effective date. Changes do not affect an SOW that has already been signed, unless both of us agree in writing.
